Eficode Academy General Terms & Conditions

These terms and conditions (“Terms & Conditions”) are applicable to any on-site and online training courses (“Training”) offered by Eficode. By signing up to a course, the customer (“Customer” or “Participant”) confirms that they have read and accepted the terms, and agrees to be bound by them.

Payment

The fee for the Training will be invoiced on the start date of the Training. The payment term is 21 days from the date of invoice.

All fees are exclusive of VAT, and the applicable VAT is added to the invoice.

Cancellation & Transfer

For cancellations received more than fourteen (14) days prior to the starting date of the Training, Eficode will charge fifty percent (50%) of the total price of the Training. If a participation is not canceled and the Customer does not attend the Training, Eficode shall charge the full fee of the Training from the Customer.

The Customer may transfer their registration to another individual working for the same organization if they are unable to attend the Training. Notice of transfer of registration shall be made immediately once it becomes clear that the original Customer is unable to attend the Training.

Eficode reserves the right to change the contents of the Training. Eficode also reserves the right to cancel the Training due to a small number of participants or for other such reason..

Warranty & Disclaimer

Eficode assures that the Trainings shall be conducted with a good, workmanlike manner in accordance with the industry standard and best practices. Eficode, in its sole discretion, assigns the individuals conducting the Trainings and may, at any time, make changes to the content of the Training as well as change the individual conducting the Training.

Eficode does not warrant that the Trainings will always be timely and error-free, and does not assume any liability for the accuracy or correctness of any information provided in the Training. Eficode does not warrant that online Trainings will always be free of interruptions or bugs.

Ownership of Materials

All material provided in connection with the Trainings is the sole property of Eficode. The Participant is granted a non-exclusive, non-transferable and revocable license to any Training materials. No Training materials may be copied, transferred, uploaded or otherwise distributed without the prior written permission from Eficode.

Personal Data

Personal data of Participants is processed in accordance with the Eficode privacy policy.

Liability

In no event shall Eficode be liable for any indirect damages including, but not limited to, loss of revenue or profits, contract customers or businesses, consequential damages, incidental damages, anticipated savings or revenues.

Eficode’s aggregate liability for direct damages caused to the Customer is limited to the total amount paid by the Customer to Eficode for the Training.

Applicable Law & Dispute Resolution

These Terms & Conditions shall be governed by the laws of Finland, excluding any choice of law provisions. Any dispute arising from the Trainings shall primarily be resolved by negotiation between Eficode and the Customer. In case an agreement is not reached by negotiation, disputes shall be resolved by means of arbitration in Helsinki, Finland using a sole arbitrator assigned and following the rules of the Finland Chamber of Commerce. The language of the arbitration can either be Finnish or English.
